Terms of Service

By accessing or using the VertexStay platform, website, or any related services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using VertexStay on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Services.

VertexStay provides a cloud-based property management system for hotels and hospitality businesses. The Services include reservation management, housekeeping coordination, billing and invoicing, reporting and analytics, and third-party channel integrations.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

To access the Services, you must create an account. You agree to:

You may not create accounts for the purpose of circumventing our policies or use another user's credentials.

VertexStay is offered on a subscription basis. By selecting a paid plan, you agree to pay the applicable fees.

Billing cycle: Subscriptions are billed monthly or annually depending on your selected plan. Annual subscriptions are non-refundable except as required by law.

Price changes: We will give you at least 30 days notice before changing subscription prices. Continued use of the Services after a price change constitutes acceptance.

Free trial: New accounts may be eligible for a trial period. We reserve the right to terminate the trial at any time or to require payment to continue access.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a paid subscription period.

You agree to use the Services only for lawful purposes. You may not:

Your use of the Services is subject to our Privacy Policy, incorporated herein by reference. You are responsible for ensuring that your collection and use of guest data through VertexStay complies with all applicable laws, including data protection regulations in your jurisdiction.

You retain ownership of all data you input into VertexStay. We process your data as described in our Privacy Policy and Data Processing Agreement (available upon request for Enterprise customers).

VertexStay and its licensors own all intellectual property rights in the Services, including software, design, documentation, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during the subscription term.

You may not copy, modify, reverse-engineer, or create derivative works of the Services without our prior written consent.

We target 99.9% monthly uptime for the VertexStay platform, excluding scheduled maintenance windows. If we fail to meet this target, eligible customers may request a service credit as described in our Service Level Agreement.

Credits are the sole remedy for service unavailability and do not apply to outages caused by factors outside our reasonable control (force majeure, internet backbone disruptions, customer misuse).

To the maximum extent permitted by law, VertexStay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, or data loss, arising from your use of the Services.

Our total liability for any claims arising under these Terms shall not exceed the amount paid by you for the Services in the three months preceding the claim.

The Services are provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free or uninterrupted.

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you materially breach these Terms. Upon termination, your license to use the Services ends and we will delete your data in accordance with our data retention policy. Sections 6, 7, 9, 10, and 12 survive termination.

These Terms are governed by the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai. Any disputes arising from these Terms shall be resolved in the courts of Dubai, United Arab Emirates, and you consent to the personal jurisdiction of those courts.

We may modify these Terms from time to time. We will provide at least 30 days notice before material changes take effect, via email or a prominent notice in the platform. Your continued use of the Services after the effective date of the changes constitutes acceptance.
